2. Acceptance of Terms

RMZE may decline or cancel an order where reasonably necessary due to:

Wholesale, bulk, dealer, distributor, institutional, OEM, private-label, government, tender, and export orders may have separate:

10. OEM, Private Label & Customized Products
OEM, private-label, customized, specially manufactured, branded, or made-to-order products may be subject to separate written terms.
Such orders may involve:

- Packaging specifications
- Production timelines
- Advance payments
- Quality requirements
- Shipping arrangements
Once customized production or procurement has commenced, cancellation, modification, or refund may be subject to the agreed transaction terms and applicable law.

For international orders, destination-country import duties, taxes, customs charges, brokerage charges, and other local charges may generally be payable by the importer/customer unless otherwise agreed in writing.
13. Shipping & Delivery
Shipping, dispatch, packaging, tracking, delivery estimates, customs, and international logistics are governed by RMZE’s Shipping Policy and the applicable transaction-specific terms.
Any delivery or dispatch timeline communicated by RMZE should generally be treated as an estimate unless a specific timeline has been expressly agreed in writing.
Delays may occur due to circumstances outside RMZE’s reasonable control.
14. International & Export Orders
International transactions may be subject to:
- Export regulations
- Import regulations
- Customs requirements
- Destination-country laws
- Carrier restrictions
- Product restrictions
- Documentation requirements
- Applicable sanctions or trade restrictions
The customer/importer is responsible for complying with applicable destination-country requirements unless RMZE has expressly agreed otherwise.
Where applicable, Incoterms or other written export terms may govern the responsibilities of the parties.
15. Government, PSU, Defence & Tender Orders
Government, PSU, defence, institutional, educational, and tender transactions may be governed by the specific:
- Tender conditions
- Purchase Order
- Contract
- Work Order
- Procurement terms
- GeM/order terms where applicable
- Other government or institutional documentation
Where a valid written agreement contains specific terms that differ from these general Terms, the specific transaction terms shall prevail to the extent legally valid.
16. Delivery & Risk
Delivery arrangements and transfer of risk may depend on the agreed shipping method, commercial terms, Incoterms, purchase order, or applicable law.
Customers should inspect shipments promptly after delivery and retain relevant packaging, shipping labels, invoices, photographs, and other evidence where a shipment appears damaged, incomplete, or incorrect.
17. Damaged, Defective or Incorrect Products
If a customer receives a product that is damaged, defective, incorrect, incomplete, or materially different from the confirmed order, the customer should contact RMZE promptly with relevant order information and supporting evidence.
RMZE will review the matter and determine the appropriate resolution according to:
- The circumstances
- Applicable RMZE policy
- Transaction-specific terms
- Carrier/logistics procedures where relevant
- Applicable law
Nothing in these Terms is intended to exclude mandatory legal rights.
18. Returns, Refunds & Cancellations
Returns, refunds, replacements, and cancellations will be governed by the applicable:

20. Customer-Submitted Information & Content
Customers are responsible for ensuring that information, artwork, logos, photographs, specifications, designs, or other materials supplied to RMZE for customized, OEM, private-label, or other orders do not knowingly infringe third-party rights.
The customer should have the necessary authorization to provide such materials to RMZE.
21. Third-Party Services
RMZE may use third-party service providers for services including:
- Payment processing
- Website hosting
- Analytics
- Communication
- Shipping
- Logistics
- Freight forwarding
- Technology
- Security
Third-party services may operate under their own terms and policies.
RMZE will not be responsible for matters outside its reasonable control arising solely from the independent operation of third-party services, subject to applicable law.
22. Website Availability

28. Confidentiality
Where applicable, confidential commercial information exchanged between RMZE and a customer, supplier, distributor, institution, government organization, or business partner shall be handled according to any applicable written confidentiality agreement or commercial arrangement.
29. Governing Law & Exclusive Jurisdiction
These Terms & Conditions and transactions with RMZE Global Supply shall be governed by and construed in accordance with the applicable laws of India.
To the extent permitted by applicable law, and where the courts at Meerut, Uttar Pradesh have jurisdiction over the relevant dispute, the competent courts at Meerut, Uttar Pradesh, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms & Conditions, quotations, orders, products, payments, shipments, services, or business transactions with RMZE Global Supply.
Nothing in this clause is intended to restrict or exclude any mandatory statutory jurisdiction, consumer remedy, regulatory authority, tribunal, government procurement mechanism, or other forum whose jurisdiction cannot legally be excluded or contractually restricted.
This clause is intended to establish Meerut, Uttar Pradesh as RMZE’s preferred exclusive contractual forum wherever legally permissible.
This approach is important because parties can choose one among multiple courts that already have jurisdiction, but they cannot create jurisdiction in a court that otherwise has none.
Also, statutory consumer jurisdiction cannot simply be eliminated through website Terms & Conditions; the Consumer Protection Act provides jurisdictional rules for District Commissions.
30. Dispute Resolution
RMZE encourages customers and business partners to first contact RMZE and attempt to resolve any dispute or concern amicably.
Where a dispute cannot be resolved through communication, the parties may use the appropriate legal or dispute-resolution mechanism available under applicable law and any valid written agreement.
For commercial/B2B transactions, the parties may additionally agree to mediation, arbitration, or another dispute-resolution mechanism through a separate written agreement.
31. Order-Specific Terms Prevail
In case of any inconsistency between these general Terms & Conditions and a valid written:
- Quotation
- Proforma Invoice
- Purchase Order
- Tender Document
- Contract
- OEM/Private Label Agreement
- Export Agreement
- Other mutually accepted commercial document
the specific written terms applicable to that transaction shall prevail to the extent of the inconsistency, subject to applicable law.
32. Severability
If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable by a competent authority, the remaining provisions shall continue to the extent permitted by applicable law.
The invalid provision shall be interpreted or modified only to the extent necessary to make it legally enforceable, where permitted.
33. No Waiver
Failure by RMZE to enforce any provision of these Terms & Conditions at any particular time shall not constitute a permanent waiver of that provision or RMZE’s right to enforce it later.

RMZE may update these Terms & Conditions from time to time to reflect changes in:
